LEGAL AGREEMENT

Terms of Service & Project Engagements

1. Scope of Services

These Terms and Conditions govern all software development, web engineering, School ERP deployment, e-commerce creation, and digital marketing consulting services delivered by Ashish Gupta to clients globally and across India.

2. Quotations & Project Milestones

Prior to project commencement, a clear Scope of Work (SOW) including deliverables, tech stack specifications, milestones, and timelines will be agreed upon in writing. Any additional feature requests outside the original SOW will be scoped and billed as secondary milestones.

3. Payment Terms

• An initial deposit (typically 30% to 50%) is required to commence development work.
• Intermediate payments correspond directly to verified milestone deliverables (e.g., prototype approval, database deployment).
• The final balance is due upon project completion and deployment to the client's production server/domain.

4. Intellectual Property & Source Code Ownership

Upon full settlement of project invoices, the client receives complete ownership rights to all custom-developed source code, graphic assets, and database architecture built specifically for their project. Open-source libraries (PHP, Laravel, Bootstrap, etc.) remain governed by their respective standard open-source licenses.

5. Revisions & Warranty Support

All projects include 30 days of complimentary post-launch bug fixing and support to ensure smooth day-to-day operations. Free revisions are provided during the active milestone development phase until the client is fully satisfied with the agreed specifications.

6. Confidentiality & Data Security

All client proprietary information, customer lists, financial records, and operational data shared during consulting or software development remain strictly confidential and will never be shared with third parties.
